End-User License Agreement

1. Scope and acceptance

This agreement is between Beesting Labs LLC and the person or entity receiving a license to a Beesting Labs audio plugin or related software. It applies to Vectre and other Beesting Labs plugins supplied under this agreement, together with their included presets, impulse responses, installers, documentation, and updates, collectively the "Software." A separate written agreement or product-specific license expressly provided with a product takes precedence where it conflicts with these general terms.

Read this agreement before accepting the license or installing the Software. By accepting it through an installer or other license-acceptance process, or by installing or using the Software after being given an opportunity to review these terms, you agree to them to the extent enforceable under applicable law. If you do not accept, do not install or use the Software; contact support@beestinglabs.com about any purchase and the applicable Refund Policy. If you accept for an organization, you must have authority to do so.

2. Personal license and three-computer allowance

Subject to payment of any applicable fee and compliance with this agreement, Beesting Labs grants a nonexclusive license for one designated user to install and activate the Software on up to three computers owned by that user and used by that user alone. An organizational purchaser may assign each purchased license to one designated user on up to three organization-controlled computers used exclusively by that user. The device allowance does not create three user seats or permit sharing the license among people.

Additional users need separate licenses unless Beesting Labs approves a different arrangement in writing. Contact support@beestinglabs.com if you need more than three activations, must replace a computer, or need help recovering an activation. Additional activations are not automatically included in the standard license.

You may make backup copies for your own authorized installation and recovery. Those backups do not permit additional active installations or use by others. Keep license keys and account credentials confidential.

3. Recordings and included content

You may use a validly licensed plugin to create, process, perform, and distribute your own music and other audio productions, including commercial work. Beesting Labs does not acquire ownership of your original recordings merely because you use the Software, and no additional royalty is payable to us for that authorized use.

Included presets and impulse responses may be used within the Software as part of those productions. The license does not permit extracting, repackaging, or distributing the included assets as a standalone sound library, impulse-response collection, preset collection, or competing software content. You remain responsible for obtaining rights to third-party audio and other material you bring into a project.

4. Ownership and restrictions

Beesting Labs and its licensors retain ownership of the Software and associated intellectual property. You receive permission to use it under this agreement, not ownership of its code or included assets.

Unless applicable law expressly permits otherwise, you must not distribute unauthorized copies; share, sell, rent, sublicense, or transfer a license without our written approval; defeat license checks or other access controls; remove ownership notices; or modify, disassemble, decompile, or otherwise derive the Software's source code. These restrictions do not prohibit normal use of the Software's editing controls, creating your own presets through its supported features, or exercising rights that mandatory law grants you.

You may not make the Software available as a shared network application, public download, or service operated for unlicensed users. Providing engineering, production, or mixing services using your own valid license is permitted and is not, by itself, prohibited sharing.

5. Activation, privacy, and internet access

Activation and license validation may require internet access. Follow the activation instructions supplied with the product and stay within your license's device allowance. Do not bypass an activation failure; contact support for assistance.

Our Privacy Policy explains the information used for licensing, activation, security, support, and other disclosed purposes. This agreement does not replace that notice or constitute consent to optional marketing or other data processing that requires separate consent.

6. Trials, updates, and compatibility

Trial licenses are limited to the evaluation period and functions identified when the trial is supplied. They do not create a permanent paid license. Paid license duration and any expressly included updates are determined by the offer accepted at purchase. A purchase does not automatically include future major versions, unrelated products, or compatibility with every future operating-system or host release.

Updates supplied under this license are covered by this agreement unless separate terms are presented with them. Review the published requirements for the version you install and keep backups of important sessions and recordings. Installing an update may require a supported system or host version.

7. Problems, warranties, and remedies

Contact support@beestinglabs.com if the Software does not operate as described on a supported system. Include the product and version, operating system, audio host, and a description of the problem. We may offer troubleshooting, a correction, or a replacement. Refund eligibility is described in our Refund Policy, together with any rights provided by law.

Beyond express promises made with the product and warranties that applicable law requires, Beesting Labs does not promise that the Software will be interruption-free, free of every defect, or suitable for every particular workflow. To the extent permitted by law, we exclude other implied warranties, including merchantability and fitness for a particular purpose. These exclusions do not take away statutory conformity guarantees or other nonwaivable consumer protections.

8. Limits on liability

To the extent permitted by law, Beesting Labs and its licensors are not liable for indirect or consequential damage, lost profits, lost business opportunities, or loss of data resulting from use of the Software. To that same extent, our aggregate liability arising from the affected Software is limited to the amount you paid for its license.

These limits do not apply to fraud, willful misconduct, death or personal injury where liability cannot be limited, or any other liability or consumer remedy that the law does not allow us to exclude or restrict. They do not replace a statutory right to repair, replacement, price reduction, or refund. Where the law requires a different remedy or limit, that law controls.

9. Ending a license

You may end your license by stopping use and removing all copies. Ending it voluntarily does not create a refund entitlement beyond the Refund Policy or applicable law.

Beesting Labs may terminate a license for a material breach of this agreement. Where the breach can reasonably be corrected and notice is practicable, we will give notice and a reasonable opportunity to correct it. We may suspend an activation immediately where necessary to address piracy, fraud, a security threat, or a legal requirement. Contact support if you believe an action was mistaken.

After a valid termination or refund, stop using the affected Software and delete installed and backup copies. Ownership, confidentiality of license credentials, and liability provisions continue to apply where relevant. Termination does not revoke your rights in productions lawfully made before termination or remove accrued statutory claims.

10. Governing law and changes

Arizona law governs this agreement, without displacing mandatory consumer protections applicable to you. This agreement does not require you to give up a forum or remedy available under nonwaivable law. Contact support@beestinglabs.com if a dispute arises so we can try to resolve it.

Revised license terms may be offered with future products or updates. Posting a revision on our website does not, by itself, retroactively reduce an existing license. If a provision cannot lawfully be enforced, the remaining provisions continue to apply to the extent permitted. Separate third-party or open-source notices included with the Software govern the components to which they apply.
